Complementing the notification provided on December 18, 2009, the parties subject to disclosure requirements announce that ABAG Aktienmarkt Beteiligungs AG has acquired a stake in BRAIN FORCE HOLDING AG amounting to 2,611,015 no-par value bearer shares (corresponding to about 16.97% of the share capital and voting rights) from ‘Erster Privater Investmentclub Börsebius Zentral (GbR)’ effective December 15, 2009 on the basis of a concluded securities lending agreement. The share capital of BRAIN FORCE HOLDING AG totals EUR 15,386,742.00 and is divided into 15,386,742 no-par value shares with voting rights. Accordingly, ABAG Aktienmarkt Beteiligungs AG surpassed the 15% voting rights threshold and ‘Erster Privater Investmentclub Börsebius Zentral (GbR)’ fell below this threshold.

The shares of BRAIN FORCE HOLDING AG directly held by ABAG Aktienmarkt Beteiligungs AG are to be assigned to ‘Erster Privater Investmentclub Börsebius Zentral (GbR)’ pursuant to § 92 Line 4 Austrian Stock Exchange Act, due to the fact that ‘Erster Privater Investmentclub Börsebius Zentral (GbR)’ has a 97.29% stake and thus a direct controlling interest in ABAG Aktienmarkt Beteiligungs AG.

New facts following the termination of the securities lending agreement as of October 14, 2011:

Following the termination of the securities lending agreement and transfer of the shares to ‘Erster Privater Investmentclub Börsebius Zentral (GbR)’, the 2,611,015 no-par value bearer shares of BRAIN FORCE HOLDING AG (corresponding to about 16.97% of the share capital and voting rights) are no longer assignable to ABAG Aktienmarkt Beteiligungs AG but directly to ‘Erster Privater Investmentclub Börsebius Zentral (GbR)’ in accordance with the stipulations of the Austrian Stock Exchange Act.
